GENERAL TERMS AND CONDITIONS OF SALE

1. Acceptance of the general terms and conditions of sale and formation of the contract

1.1 The contract between Calicantus and the Customer (meaning the natural person who makes a purchase on the Website for purposes unrelated to their trade, business or profession) shall be deemed concluded upon acceptance, even partial, of the order by Calicantus. If the order is not accepted, Calicantus shall in all cases promptly notify the Customer and issue a refund if payment has already been made. Such refund shall be made using the same payment methods used for the purchase, without undue delay and, in any event, within 14 (fourteen) days of notification that the order has been rejected.

1.2 By placing an order using any of the available methods, through the order form on the Website (hereinafter the "Order"), the Customer declares that they have read all the information provided during the purchase process and fully accept these general terms and conditions (hereinafter the "Conditions").

1.3 These Conditions may be printed or saved on a durable medium, in accordance with Article 12 of Legislative Decree No. 70/2003 and Article 51 of Legislative Decree No. 206/2005, as amended by Legislative Decree No. 21/2014.

2. Purchasing procedure

2.1 The products offered for sale by Calicantus are exclusively those displayed on the Website at the time the Order is submitted, as described in the relevant product information sheets.

2.2 It is understood that the images accompanying a product description are for information purposes only and may not perfectly represent its characteristics, which may differ, for example, in colour and size (including as a result of the browser and monitor used to access the Website and view the images).

2.3 To place an Order, the Customer must complete all sections of the relevant form on the Website and submit it after carefully reviewing the Conditions and the characteristics of the product and/or products they wish to purchase. If the Customer requires a tax invoice for the purchase, they must also request its issuance from Calicantus pursuant to Article 22 of Presidential Decree No. 633/1972.

2.4 The purchase shall be deemed concluded only when the proposed order is accepted by Calicantus. Calicantus shall send the Customer a subsequent email confirming acceptance of the purchase proposal and informing them that the order is being dispatched. This confirmation message shall summarise the terms of purchase, as required by applicable legislation, and include the details entered by the Customer in the Order, so that the Customer may check them and promptly communicate any necessary corrections to inaccurate information.

3. Prices and payment methods

3.1 The prices shown on the Website include taxes and VAT. Any shipping costs or payment charges shall in all cases be communicated to the Customer in advance through the Website.

3.2 The following payment methods are available:

(i) PayPal

(ii) Credit card: Mastercard, Visa, American Express

Under no circumstances and at no stage of the payment process shall Calicantus have access to the Customer's credit card information, which is transmitted through a secure connection directly to the website of the banking institution handling the transaction. No Calicantus electronic database shall store such data, and Calicantus therefore cannot under any circumstances be held liable for any fraudulent or unauthorised use of credit cards by third parties when payment is made.

(iii) Bank transfer (for European Union countries only)

Payment may also be made by bank transfer to Calicantus using the following IBAN: IT78 H054 8402 0000 0000 0001147. The goods shall be dispatched only once payment has actually been received in the bank account.

(iv) Payment in instalments through Klarna.

3.3 Calicantus reserves the right not to process orders if the price shown on the Website is manifestly incorrect or negligible compared with the product's normal market value due to clerical, technical or IT errors. In such cases, the Customer shall nevertheless be contacted to establish whether they still wish to purchase the product at the correct price.

4. Delivery of products and related costs

4.1 The purchased products shall be delivered to the address specified by the Customer in the Order within:

  • 1-3 working days from dispatch of the order (which generally takes place within 2 working days of payment confirmation) for deliveries within Italy;

  • 3-4 working days from dispatch for deliveries within Europe;

  • 4-7 working days from dispatch for deliveries to destinations outside the EU.

at the cost specifically indicated on the Website before the Order is submitted.

4.2 For deliveries requested to countries outside the European Union, any import customs duties shall be borne by the recipient. The Customer is therefore advised to contact the customs authorities in their country in advance to check the costs and any import restrictions.

4.3 The delivery times indicated by Calicantus are purely indicative, and any delay beyond those times, or any delivery made in separate shipments, shall not entitle the Customer to refuse delivery or claim damages or compensation. The rights granted to consumers under Articles 61 et seq. of the Consumer Code remain unaffected.

4.4 Upon delivery of the products, the Customer must check:

  • that the number of packages delivered corresponds to the number indicated in the transport document.

  • that the packaging is intact, undamaged, dry and has not otherwise been tampered with, including its sealing materials (adhesive tape or metal straps).

The Customer is requested to report any irregularities within 7 days of delivery, using the procedures set out in this document; this time limit does not in any way restrict the rights granted under the statutory guarantee of conformity.

5. Right of withdrawal

5.1 Pursuant to Article 52 of Legislative Decree No. 206/2005, as amended by Legislative Decree No. 21/2014, the Customer may withdraw from the purchase contract for any reason, without having to give a reason and without any penalty, within 14 (fourteen) days of the date on which the Customer or a third party designated by the Customer, other than the carrier, acquires physical possession of the goods.

5.2 To exercise the right of withdrawal referred to in Article 5.1 above, the Customer must notify Calicantus within the specified time limits, using the dedicated form available at the following link.

5.3 In the event of withdrawal, the Customer must return the products at their own expense within 14 (fourteen) days of such withdrawal to the following address:

Forall Confezioni S.p.A.

c/o, NIPPON EXPRESS, Via A. Rossi, 50,

36013 Piovene Rocchette (VI), Italy

The goods must be returned intact, complete with all their parts and in their original packaging (bags and boxes), having been kept and, where applicable, used only for the time strictly necessary to establish and check their nature, characteristics and size, with reasonable care, without signs of wear or dirt, and in compliance with the following conditions:

  • the right of withdrawal may be exercised only in respect of the purchased product as a whole; it is not possible to withdraw in respect of only part of the purchased product (e.g. accessories, complementary items, etc…);

  • The product must be returned, where reasonably possible, in its original packaging and with all accessories, it being understood that the absence of the original packaging does not in itself result in the loss of the right of withdrawal.

  • shipping costs (and any customs charges, where applicable) for returning the goods shall be borne exclusively by the Customer.

  • during shipment and until receipt at the warehouse has been acknowledged, the goods travel at the Customer's risk;

  • Calicantus shall not be liable in any way for damage, theft or loss occurring during or otherwise arising from the return shipment.

5.4 Calicantus shall refund the Customer the full amount already paid, less any supplementary shipping costs pursuant to Article 56, paragraph 2, of Legislative Decree No. 21/14), within 14 (fourteen) days of withdrawal, by reversing the amount charged using the same means of payment used by the Customer for the initial transaction, unless otherwise agreed. In any event, the Customer shall not incur any costs as a result of such refund. Calicantus may withhold the refund until it has received the returned product or until the Customer provides evidence that the product has been properly sent back, whichever occurs first.

5.5 The Customer is liable for any diminished value of the goods resulting from handling other than that necessary to establish their nature, characteristics and functioning, including, by way of example, cases where:

  • the returned product and/or its accessories and/or its packaging are not intact;

  • the product is missing its outer packaging and/or original inner packaging;

  • the product is missing any of its integral parts and/or accessories (e.g. fastenings, laces, buckles, etc.).

The circumstances described above may result in a reduction of the refund proportionate to the diminished value of the goods, where applicable pursuant to Article 57 of the Consumer Code.

6. Guarantees

6.1 All products sold by Calicantus are covered by a 24 (twenty-four) month guarantee against lack of conformity, starting from the date of delivery of the goods, pursuant to Articles 128-135-septies of the Consumer Code. To obtain assistance under the guarantee, the Customer must provide proof of purchase (invoice, payment receipt or transport document).

6.2 The guarantee against lack of conformity shall apply provided that the product has been used correctly, in accordance with its intended use and with the use and washing instructions included in and/or supplied with the product.

6.3 If, for any reason, Calicantus is unable to provide the Customer with a conforming product through repair or replacement, or if such remedies are impossible or disproportionately costly under applicable legislation, the Customer shall be entitled to the remedies provided for in Articles 135-bis et seq. of the Consumer Code, including, where the relevant conditions are met, a proportionate price reduction or termination of the contract.

7. Product safety (EU Regulation No. 2023/988 “GPSR”)

8. Force majeure

8.1. Calicantus cannot be held liable for failure or delay in performing the obligations undertaken herein due to circumstances attributable to it and beyond its reasonable and foreseeable control ("Force Majeure Events").

8.2. Force Majeure Events include, without limitation, the following circumstances:

a) strikes, lockouts and other industrial disputes;

b) civil mobilisation and uprisings, invasions, terrorist attacks or threats of terrorist attacks, armed conflicts (whether declared or not) or threats of and preparations for conflicts;

d) inability to use public or private telecommunications facilities;

e) pandemics and lockdowns.

8.3. Performance of Calicantus's obligations under these General Terms and Conditions of Sale shall be deemed suspended for the duration of the Force Majeure Events. Despite the continuation of the Force Majeure Events, Calicantus undertakes to do everything within its power to find solutions allowing the proper performance of its obligations.

8.4 If a Force Majeure Event continues for more than 90 days, either party may withdraw from the contract. In such cases, Calicantus shall refund any price paid by the Customer for goods not yet delivered.

9. Privacy

9.1. The Customer's personal data shall be processed in accordance with the privacy policy.

9.2. For any further information concerning the processing of personal data, the Customer may contact Calicantus by completing the following form.

9.3. To the extent permitted by law, Calicantus may use the personal information provided by the Customer to carry out appropriate payment and fraud prevention checks. For this purpose, as part of its data processing activities under applicable legislation, Calicantus may ask the Customer to provide identification details, including, where appropriate, a copy of an identity document; the personal information provided by the user may be verified, including by third parties such as a credit reference or fraud prevention agency, which may retain a record of such information.

10. Applicable law

The sales contract governed by these Conditions and its performance shall be governed by Italian law, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
